Acceptance of Terms

Your access to and use of Ei42 is subject exclusively to these Terms and Conditions. By using Ei42 you are fully accepting the terms, conditions and disclaimers contained in this notice. If you do not accept these Terms and Conditions you must immediately stop using the site.

These terms and conditions form the contract between us as promoters and you as participants in the Ei42 shopping network.

Ei42 Limited, 3 The Square Brade Drive, Coventry, CV2 2QJ (the promoter and provider of the service) hereinafter referred to as Ei42.

The service we offer to our members is a personal use Ei42.com shop Free for every member. These personal shops all contain links to other websites with which Ei42 has negotiated commission based relationships through 3rd party providers based on sales generated.

Your participation in the ei42 program is solely for the purpose: to legally use your shop for self consumption purposes in order to receive a commission generated from purchased products or services. You will also generate commission on sales transacted through shops created by others that you refer to the program.

When you are referred to Ei42 you are given your own Ei42 shop which you can use to purchase any item from any of the suppliers listed. You are under no obligation to buy anything at any time or from anyone. You are also able to refer your friends to Ei42 but again you are under no obligation to do so.

You have the right to cancel or terminate your Ei42 account at any time. In order to cancel your account, simply submit a support ticket to the Helpdesk requesting the cancelation. If your account has a credit balance at the time of cancellation we will send any payment due within 60 days to allow sufficient time for any pending transactions to move to approved.

We promise to give you at least 60 days notice on any change in future payments.

We will never attempt to recover any money already paid to you.

We do not make you do anything. You do not have to use your shop to buy anything and you do not have to refer your friends to Ei42.com

Membership

You must be a resident of the UK and over 16 years of age at the date of creating your Ei42 account. Accounts are strictly limited to one per member failure to comply will result in the termination of all accounts that you are found to have opened in breach of this rule.

Ei42 reserves the right to refuse membership and the right to terminate membership without notice at any time. In addition Ei42 reserves the right to change this agreement or discontinue the service at any time. Any changes will be posted visibly on the website.

Ei42 reserves the right to terminate any account containing dishonest information and to prosecute individuals who intentionally provide false information. Your membership and status in the program may be suspended or terminated for any of the following reasons:

Inappropriate advertisements (False claims, misleading hyperlinks)
Spamming (mass email, mass newsgroup posting, etc...)
Advertising on sites containing/promoting illegal activities
Violation of intellectual property rights.

Ei42 may terminate membership for breach of these terms and conditions, and without further obligation if a user appears to be using the service in a fraudulent manner.

Members are automatically subscribed to our newsletter mailing list. This is a requirement of the provision of your Ei42 shop. These emails do not contain advertisements they only contain important information in relation to the running and continued success of Ei42. Unless we face exceptional circumstances there will be no more than one per week. We will also provide additional mailing list for which subscription will be optional.

Payments

Payments will be made monthly. There must be a minimum amount of Ł20 in your account before a payment will be processed.

As a member of Ei42 you will receive payments as a percentage of spend or as a fixed value for certain purchases. We make no guarantees as to the amount you may receive as a result of using your Ei42 shop. In some cases you may see specific reference to an actual percentage or amount that you can earn as a result of using your Ei42 shop to buy certain products. We always endeavour to publish information that is accurate but we reserve the right to change any commission or amount previously published without notice.

Any transaction you complete is with the retailer and not with Ei42. Earnings are paid when the retailer confirms your purchases. Depending on their returns policy this normally will be done within a few days. However some retailers may take upwards of 60 days to report your transactions.

It is your responsibility to ensure that you turn your cookies on with your browser, and that you do not have any software, spyware or adware on your computer that may block cookies or overwrite cookies.

If any of your purchases are returned to the retailer, any payments will automatically be deducted from your balance.

If any forms are filled in fraudulently or are incomplete the retailer may delete your payments and we reserve the right to terminate your Ei42 membership if we feel this is appropriate.

All retailer transactions are logged through the use of cookies. We cannot be responsible if for any reasons the retailer's site is not correctly reporting sales to us. However we will work on our member's behalf to ensure such situations do not occur, and that transactions are correctly recorded.

Signup Bonuses / Credits

Upon signing up with our program, NO payment in the form of 'signup bonuses' or 'credit' will be made to any referrer affiliate account. Likewise, no payment, 'Signup bonus' or 'credit' will be made to your account when you refer the program to others by any method.

Termination of Accounts

You will be paid any outstanding commission from sales made on your own Ei42 shop only and NOT from any shops that belong to any of your team of friends. Your store will be closed and removed from the Internet. Any future commissions that you might have earned will pass to Ei42 Ltd.

Changes to website

Ei42 reserves the right to: Change or remove (temporarily or permanently) the website or any part of it without notice and you confirm that Ei42 shall not be liable to you for any such change or removal, furthermore we may change these Terms and Conditions at any time, and your continued use of the Website following any changes shall be deemed to be your acceptance of such change.

Affiliate Links

You may use graphic and text links both on your website and in emails. The site may also be advertised "offline" in classified ads, magazines, and newspapers. You may use the graphics and text provided to you by us, or you may create your own as long as they are deemed appropriate according to the conditions in 2.

Affiliate Tracking

When a web surfer clicks through your affiliate link, a cookie is set in their browser that contains your affiliate ID number. Also, their IP address is tracked in the database along with your I.D number. When this person decides to buy a product, the script will look for this cookie and/or try to match their IP address to identify the affiliate who will be awarded the commission. Visitors sent through your affiliate link may make a purchase later in time and the commission will still be awarded if the cookie is present in their browser and/or they are using the same IP address as the one logged in the database.

Advice

The contents of Ei42 do not constitute advice and should not be relied upon in making or refraining from making any decision. We cannot accept liability for the services provided by any of the service providers or merchants featured on this site. We do not endorse or take responsibility for the performance of any product or service listed on Ei42.

Links to third party websites

Ei42 contains links to third party websites that are controlled and maintained by others. Any link to other websites is not an endorsement of such websites and you acknowledge and agree that we are not responsible for the content or availability of any such sites.

Copyright

All copyright, trademarks and all other intellectual property rights in the Website and its content (including without limitation the Website design, text, graphics and all software and source codes connected with the Website) are owned by or licensed to Ei42 or otherwise used by Ei42 as permitted by law.

In accessing the Website you agree that you will access the content solely for your personal, non-commercial use. None of the content may be downloaded, copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder. This excludes the downloading, copying and/or printing of pages of the Website for personal, non-commercial home use only.

Disclaimers and limitation of liability

The Website is provided on an "AS IS" and "AS AVAILABLE" basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

To the extent permitted by law, Ei42 Ltd will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Website.

Ei42 makes no warranty that the functionality of the Website will be uninterrupted or error free, that defects will be corrected or that the Website or the server that makes it available are free of viruses or anything else which may be harmful or destructive.

Nothing in these Terms and Conditions shall be construed so as to exclude or limit the liability of Ei42 for death or personal injury as a result of the negligence of Ei42 or that of its employees or agents.

Indemnity

You agree to indemnify and hold Ei42 and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against Ei42 arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of this Website.

Severance

If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the law of England and you hereby submit to the exclusive jurisdiction of the English courts.

Limitation of Liability

Nothing in these Terms will limit Ei42's liability for losses which may not be lawfully excluded or limited by applicable law. Ei42 Limited, any subsidiaries and or affiliates, shall not be liable to you for:

Any indirect or other losses which may be incurred by you, including any loss of profit (regardless of whether any losses were incurred directly or indirectly), any loss of goodwill, reputation, or data suffered by you.
Any loss or damage which may be incurred by you as a result of any transaction between you and any supplier, advertiser or sponsor whose advert may appear on this service.
Your failure to provide Ei42 with accurate account information.
Your failure to protect your password and account details confidential and secure.
